The Finance Shop - SMS Service

The Finance Shop Version 12 2017 introduced the ability to SMS entities directly from TFS via a new communications dialogue. To be able to use this service you have to enter into a an agreement with Insula.

OUR AGREEMENT

  • Persons using Insula Software’s SMS services for any reason whatsoever bind themselves and agree to these terms and conditions.
  • Should a User not agree to all the terms and conditions of this agreement or be unable to comply with these terms and conditions, the User should immediately cease using this service and/or terminate the registration process.

SERVICES                                                                                                                                                                                                              

  • Credits will be assigned to your account when you sign up for our SMS service. Should the credits assigned to your account be cancelled due to non-payment, you will have to re-apply for and pre-pay for credits before you can start using our SMS service again.
  • Scheduled maintenance. We may suspend our SMS services for up to 6 hours per month for scheduled maintenance of our systems. We will notify you of scheduled maintenance at least 24 hours before it starts.
  • Continued use of the Service.  Insula Software shall make all reasonable endeavours to ensure uninterrupted and continued use of the services, however the delivery of SMS messages is largely dependent on the effective functioning of Network Operators’ cellular networks, network coverage and the SMS recipient’s mobile handset. Insula Software does not and cannot guarantee the availability of any service, the delivery of SMS messages or the compatibility between any message or content format and any particular mobile handsets or mobile operating systems.
  • Network Operators may modify, enhance, develop or discontinue components of their services at any time without prior notice, in which event Insula Software shall be entitled to modify, enhance, develop or discontinue affected services to Users without notice.
  • Modification, suspension or termination of Service.  Insula Software shall use its reasonable endeavours to provide the User with advance notice of any modification, suspension or termination of its services and shall endeavour to minimise the duration of any suspension thereof in so far as this is reasonably practicable.
  • Message delivery.  Messages shall be deemed to have been delivered when our gateway has sent the messages to the immediate destination that it is requested to send to, including, but not limited to, mobile telephone networks, SMTP or other servers.
  • Termination of Services. Insula Software shall have the right to withhold, terminate or suspend the provision of services to the User at any time. Where this Agreement or the provision of any service is terminated by Insula Software for any reason other than breach by the User or discontinuance of a service by a Network Operator, Insula Software shall refund all monies already paid in advance by the User for any unused terminated service.


PROHIBITED CONDUCT

You may NOT use our SMS service for the transmission of any of the following (“prohibited conduct”): 

  • Voice calls
  • Bulk messaging, including sending text messages containing similar content generated on an electronic system.
  • Prohibited content, including child pornography, any content that is discriminatory based on race, sex, religion, nationality, disability, sexual orientation or age, any content that incites hatred and/or violence against any person or class of persons, and any other content prohibited by applicable laws
  • Digital content, including ringtones, wallpapers or other binary content
  • Spam, including sending communications prohibited by the SPAM Act of 2003 or any other relevant legislation
  • Any text that:-
  • is unsolicited or harassing (commercial or otherwise), including unsolicited or unwanted phone calls, SMS messages, voice mail and / or facsimiles; or
  • may or actually causes the introduction of “viruses,” “worms,” “Trojan horses,” “e-mail bombs,” “cancelbots” or other similar computer programming routines into the SMS Platform;
  • is unlawful, obscene, defamatory, libelous or offensive as Insula Software determines in our sole discretion;
  • is misleading or inaccurate;
  • infringes the intellectual property of any person; or
  • executes, initiates or causes “phishing” or social engineering activities.


DURATION AND RENEWAL

  • Fixed Term Contract. By signing up for our SMS service, you are entering into a fixed term contract with Insula Software for a period of 1, 3 or 12 months (“initial period”) depending on the subscription option you choose when signing up.
  • Automatic Renewal. Please note that for your convenience, our system has been set up to automatically renew the fixed term contract for additional periods equal to the initial period (“renewal period”) UNLESS you advise us at least 10 days before the expiration of the initial period or any subsequent renewal period. Should you not advise us at least 10 days before the expiration of the initial period or any renewal period thereafter, you will be bound by these terms for another renewal period and you will be liable for the costs of the subscription to our SMS service during this additional period. If you do not want the service to automatically renew, please advise us by emailing accounts@insulagroup.com.au.


FEES  & ACCOUNT PAYMENTS

  • SMS rates are set at 0.19cents per message as at 1 October, 2013.
  • Monthly account balance.  You agree to initially purchase credits to the value of $250.00 (1316 SMS messages).  Your account will be automatically topped up by direct debit when your credit balance reaches a minimum threshold of $100.00
  • Payment failure. We will notify you if your payment failed. We will de-activate your account if you we do not receive payment within 4 days of notifying you of a payment failure.
  • Outstanding amounts. If any amounts you owe us remain outstanding for a period of 30 days or longer, we will deem your account to be abandoned and reserve the right to close your account without further notice to you. You agree to forfeit all credits in your account on the date of closure due to non-payment.  Insula Software does not accept any liability for any loss and damages suffered by you or any third party due to the closure of your account for non-payment.
  • Changes to fees. We may change fees at any time on notice to you.  Notice of fee changes will be given 3 months prior to the changes taking effect.

SUSPENSION AND TERMINATION

  • Monitoring of your account. We reserve the right to monitor your use of our SMS service with regard to content for operational purposes.
  • Breach. Should we become aware or reasonably suspect that you are in violation of any of our Terms, we reserve the right to terminate our services to you, to suspend your SMS account, and to retract the number assigned to you with immediate effect. Should we terminate our services to you as a result of your breach of our Terms, you will forfeit all monies paid to Insula Software to that date, including subscription fees and credits.

BILLING DISPUTES

Billing disputes must be initiated within 90 days of invoice, by contacting us at accounts@insulagroup.com.au.  Refunds will be made in the form of a credit to your account and in no event shall there by any cash refunds.  Disputes which are not initiated within 90 days will not be entitled to any refunds.


DIRECT DEBIT AGREEMENT

You request Insula Software, until further notice, to debit your account as described, any amounts which Insula Software may debit or charge you through the Insula Software Direct Debit Plan.

In proceeding with this application you accept and understand the terms and conditions of this Direct Debit Agreement and authorise the financial institution and Insula Software to direct debit your account via the Bulk Electronic Clearing System (BECS) in payment of our SMS service.

Terms and Conditions

  • Should payments fall on a non-business day, payment will be deducted from your financial account or credit card on the next business day.
  • If at the time of processing, sufficient funds are not available, a dishonour fee on that payment may be charged by both your financial institution and Insula Software to cover reasonable administrative and processing costs.
  • Insula Software may discontinue your Direct Debit Plan if two consecutive payments are refused by your financial institution. You will then have to pay your account in full.
  • This service is not available on some passbook savings accounts.
  • Normal bank transaction fees, merchant service fees and Government taxes may apply.
  • If your bank details change at any time or you wish to alter your agreement, we require a new authority. To take effect, a new authority must be received three business days prior to the next payment.
  • To alter or terminate your agreement we require notification to be received three business days prior to the next payment.
  • All Insula Software Direct Debit Request forms and details will be held in a secure location and not given to any third party provider unless a valid claim is instigated and details are then provided to our sponsor financial institution.
  • Insula Software reserves the right to withdraw this product, stop or change individual payment plans at any time.  Insula Software will provide you with fourteen days prior notice of any changes. In the event of Insula Software ceasing to trade, all payment plans will be cancelled immediately and both you and your financial institution will be notified.

Privacy Policy

The personal information we ask you to supply is needed to set up your requested direct debit facility. A failure to provide this information will result in Insula Software being unable to complete your request. Your personal information will only be provided to other parties where necessary to provide services on behalf of Insula Software or otherwise as required by law.


What we require from you

Once you have chosen the Insula Software Direct Debit Plan you must have sufficient funds in your selected account to meet any drawing in accordance with your DDR. If there are insufficient funds in your account, your bank may charge Insula Software a fee that you must pay, together with an amount to cover Insula Software’s reasonable administration costs. Your bank may also separately charge you a fee.

And remember, please call Insula Software on (03) 8574 4800 if your banking details change. We will provide you a new Direct Debit Request form to complete to ensure our records are kept up to date.
